The Order Subject Matter includes the supply of 4 two-part Diesel train units within the project entitled 'Procurement of four Diesel train units to serve the railway section Malbork-Grudziadz to improve the safety, management, efficiency and reliability of the local transport system', co-financed within the Swiss-Polish Cooperation Programme. The Project provides for the purchase of four train units with 120-140 seats each, to serve the Malbork-Grudziadz railway line.
The most important advantages of the vehicles include an economic Diesel motor of a new generation with low fuel consumption, air conditioning in the passenger section and the driver's cab, monitoring inside vehicles and a speedometer. Vehicles will be adapted to low and medium-height platforms. The target of the Project is to purchase units of the following parameters:
-maximum speed 120 km/h; and
-number of seats 120 - 140.

2.6 Ort der Lieferung
The Contractor shall deliver the Vehicles in the condition as of the Technical Take-Over Day mentioned in Article 11 at his cost and risk (including the cost of insurance for the transport of Vehicles) to a railway station in the Pomorskie Voivodeship indicated by the Principal within 3 days after signing the Technical Take-Over Certificate, without any reservations, however at the latest by the delivery deadline set in the Delivery Time Schedule enclosed as Schedule No. 2 hereto.

3.2 Kautionen / Sicherheiten
The Principal requires the payment of a bid deposit
The value of the bid deposit for the whole Order Subject Matter shall be PLN 500,000.00 (in words: five hundred thousand zlotys 00/100).
1. A bid deposit shall be paid before the expiration of the deadline for submitting tenders. A failure to pay a bid deposit, including for the extended validity period of tenders, or a payment of a bid deposit after this deadline shall result in excluding the Contractor.
2.A bid deposit may be paid in one of the following forms:
a)in money,
b)in bank sureties or sureties of saving-credit cooperative funds, however the latter shall be cash sureties,
c)in bank guarantees,
d)in insurance guarantees,
e)in sureties granted by entities mentioned in Article 6(b)(5)(2) of the Act on the establishment of the Polish Agency for Entrepreneurship Development (Journal of Laws No. 109, Item 1158 with subsequent amendments).
A bid deposit that is paid in money shall be transferred to the bank account of the Marshal Office of Pomorskie Voivodeship in Gdansk to the bank account PeKaO 76 1240 6292 1111 0010 4607 0996. The transfer name shall read: 'Wadium w postepowaniu na dostawe 4 sztuk dwuczlonowych spalinowych zespolów trakcyjnych opisanych w przedmiocie zamówienia' (Bid deposit in the procedure for the supply of 4 two-part Diesel train units described in the Order Subject Matter'. The bid deposit shall be kept on the Principal's bank account.
4. A bid deposit shall be deemed to be paid on the date of crediting the Principal's bank account and it is noteworthy that a bid deposit is paid properly on the day and at the time of crediting the Principal's account rather than on the day and at the time of making a transfer by the Contractor. A bid deposit shall be received on the Principal's account before the deadline for submitting tenders.
5.A bank deposit paid:
a)in bank sureties or sureties of saving-credit cooperative funds,
b)in bank guarantees,
c)in insurance guarantees,
d)in sureties granted by entities mentioned in Article 6(b)(5)(2) of the Act on the establishment of the Polish Agency for Entrepreneurship Development (Journal of Laws No. 109, Item 1158 with subsequent amendments),
shall be valid for the validity period of a tender and shall be submitted in a labelled envelop together with a tender and a copy thereof certified as conforming to the original shall be enclosed to the tender.
6. A tender shall be returned (in case of a bid deposit in money - with an order placed with a bank) by the Principal immediately to all the Contractors except for the Contractor whose tender has been awarded as the most favourable:
a) after awarding the most favourable tender
or
b) after cancelling the public procurement procedure.
7. The Principal shall keep a bid deposit with interest, if the Contractor, in response to the request mentioned in Article 26(3) of the Act on public procurement law, has failed to submit the documents or declarations mentioned in Article 25(1) of the Act on public procurement law or the powers of attorney, unless the Contractor can prove that this fact does not result from his fault.
8. The Contractor whose tender has been awarded as the most favourable one shall be reimbursed the bid deposit immediately after concluding a contract and the payment of the performance bond (if required).
9. The Principal shall reimburse the bid deposit immediately upon the request of the Contractor in writing, if the Contractor has withdrawn his tender before the deadline for submitting tenders.
10. Pursuant to Article 46(3) of the Act on the Public Procurement Law, the Principal shall require the repeated payment of a bid deposit by the Contractor who has been reimbursed the bid deposit under Article 46(1) of the Act on public procurement law, if following the appeal examination his tender has been awarded as the most favourable one. The Contractor shall pay the bid deposit within a deadline set by the Principal.
11. If a bid deposit is paid in money, the Principal shall reimburse the same with interest accrued under a bank account contract where the money is kept, minus any costs of keeping the account and any bank commissions for a transfer to the bank account indicated by the Contractor.
12. The Principal shall keep a bid deposit with interest, if the Contractor whose tender has been awarded:
a) refuses to sign a public procurement contract on terms and conditions given in the tender,
b) has failed to provide the required performance bond, or
c) the conclusion of the contract is prevented through the Contractor's fault.

3.7 Eignungskriterien
aufgrund der nachstehenden Kriterien:
1.Pursuant to Article 22(1) of the Act on the Public Procurement Law, Contractors who fulfil the following terms and conditions may bid for a public procurement contract:
1)holding qualifications to conduct the specific business or activity, if the rules of law impose the obligation to hold the same;
The Principal does not impose any detailed terms and conditions. The fulfilment of the above-mentioned condition will be assessed based on a declaration submitted by the Contractor on the compliance with the participation terms and conditions according to Article 22(1) of the Act (a form of the declaration has been enclosed as Schedule No. 2 hereto).
2)having knowledge and experience;
The Principal shall consider the above-mentioned condition to be fulfilled if the Contractor proves that the Contractor has fulfilled orders for the delivery of minimum three brand-new train units of the total value of PLN 30,000,000.00 gross, in the last three years before the deadline for submitting tenders, and if the period of running the business is shorter, in the shorter period.
The fulfilment of the above-mentioned condition will be assessed based on a declaration submitted by the Contractor on the compliance with the participation terms and conditions according to Article 22(1) of the Act (a form of the declaration has been enclosed as Schedule No. 2 hereto), documents enclosed by the Contractor mentioned in Section X(1)(1)(2) hereof and the completed list of supplies enclosed as Schedule No. 4 hereto),
3)holding adequate technical potential and personnel capable of fulfilling the order;
The Principal does not impose any detailed terms and conditions. The fulfilment of the above-mentioned condition will be assessed based on a declaration submitted by the Contractor on the compliance with the participation terms and conditions according to Article 22(1) of the Act (a form of the declaration has been enclosed as Schedule No. 2 hereto).
4)economic and financial standing;
The Principal shall consider the above-mentioned condition to be fulfilled, if the Contractors prove that:
a)they hold funds or credit worthiness for the amount of minimum PLN 30,000,000.00, and
b)they hold third party liability insurance covering their business related to the Order Subject Matter with the insurance sum of minimum PLN 20,000,000.00.
The fulfilment of the above-mentioned condition will be assessed based on a declaration submitted by the Contractor on the compliance with the participation terms and conditions according to Article 22(1) of the Act (a form of the declaration has been enclosed as Schedule No. 2 hereto) and documents enclosed by the Contractor mentioned in Section X(1)(1)(3) and (1)(4) hereof.
3.8 Geforderte Nachweise
aufgrund der nachstehenden Nachweise:
To confirm the fulfilment of the terms and conditions for the participation in the procedure mentioned in Chapter IX(1) hereof, the Principal shall require the following documents:
1.1.A declaration of the Contractor on the fulfilment of the terms and conditions for the participation in the procedure set forth in Article 22(1) of Act on the Public Procurement Law, in the form enclosed as Schedule No. 2 hereto;
1.2.The list of deliveries as necessary to demonstrate the fulfilment of the knowledge and experience condition in the last three years before the deadline for submitting tenders, and if the period of running the business is shorter, in the shorter period, including information on the value, subject matter, the dates of performance and entities that received the deliveries as well as evidence confirming that the deliveries were provided properly, according to the form enclosed as Schedule No. 4 hereto;
- Evidence complying with the Regulation of the Prime Minister dated 19 February 2013 on the types of documents that may be required by a principal from a contractor and forms thereof mentioned in Chapter X(1)(2) of these ToR include:
-a certification; however, in public procurement procedures initiated in 12 months after the effective date of the Regulation, hereinafter referred to as 'Regulation', the Contractor may, instead of the certification, submit documents that confirm the due performance of services mentioned in §1(1)(3) of the Regulation by the Prime Minister dated 30 December 2009 on types of documents that may be required by a principal from a contractor and forms thereof (Journal of Laws No. 226, Item 1817).
-a declaration of the Contractor, if for objective and reasonable causes the Contractor cannot obtain the above-mentioned certification.
- If the Principal is an entity for whom the services included in the list mentioned in Chapter X(1)(2) of ToR have been provided, the Contractor shall not be obliged to submit the above-mentioned evidence.
1.3.a paid insurance policy or, if no policy is available, another document that confirms that the Contractor holds the third party liability insurance covering his business related to the Order Subject Matter.
1.4.a statement from a bank or a saving-credit cooperative fund confirming the value of funds or creditworthiness of the Contractor, issued at the earliest 3 months before the expiration of the deadline for submitting tenders.
2. To confirm the fulfilment of the terms and conditions for the participation in the procedure on no grounds for the exclusion from the public procurement procedure in the circumstances mentioned in Article 24(1) of the Act, the following documents shall be submitted:
2.1.a declaration on no grounds for the exclusion from the procedure due to the failure to fulfil the terms and conditions mentioned in Article 24(1) of the Act, in the form enclosed as Schedule No. 3 hereto;
2.2.A valid extract from a record or the central business information register, if other regulations require an entry into the record or register, to prove there are no grounds for the exclusion under Article 24(1)(2) of the Act, issued at the earliest 6 months before the deadline for submitting tenders.
2.3.a valid certificate issued by a competent head of the tax office confirming that the Contractor is not in arrears with any taxes or a certificate that the Contractor has obtained a legal exemption, deferral or payment plan for any overdue liabilities or the suspension in whole of the enforcement of a decision given by a competent authority, issued at the earliest 3 months before the deadline for submitting tenders;
2.4.a valid certificate issued by a competent branch of the Social Insurance Institution (ZUS) or Farmers' Social Insurance Fund (KRUS) confirming that the Contractor is not in arrears with any health or social insurance premiums or a certificate that the Contractor has obtained a legal exemption, deferral or payment plan for any overdue liabilities or the suspension in whole of the enforcement of a decision given by a competent authority, issued at the earliest 3 months before the deadline for submitting tenders;
2.5.valid information from the National Criminal Register within the scope set forth in Article 24(1)(4-8) and (10)-(11) of the Act, issued at the earliest 6 months before the deadline for submitting tenders; and
2.6.valid information from the National Criminal Register within the scope set forth in Article 24(1)(9) of the Act, issued at the earliest 6 months before the deadline for submitting tenders;
2.7.valid information from the National Criminal Record within the scope set forth in Article 24(1)(10)-(11) of the Act, issued at the earliest 6 months before the deadline for submitting tenders.
3.Any documents drawn up in a foreign language shall be submitted together with the translation into Polish certified by the Contractor.
4.If the Contractor has his seat or domicile outside the territory of the Republic of Poland:
1)instead of the documents mentioned in paragraph 2(2)-(4) and 2(6), the Contractor shall submit a document(s) issued in the country of his seat or residence, confirming accordingly that:
a)no liquidation of the Contractor has been opened and no bankruptcy has been declared;
b)the Contractor is not in arrears with any taxes, charges, social and health insurance premiums or has obtained a legal exemption, deferral or payment plan for any overdue liabilities or the suspension in whole of the enforcement of a decision given by a competent authority;
c)no prohibition has been imposed on the Contractor against his joining the procurement procedure;
2) instead of the documents mentioned in paragraph 2(5) and 2(7), the Contractor shall submit a declaration of a court or administrative authority competent for his residence or the residence of the person such documents concern, within the scope set forth in Article 24(1)(4-8) and (10)-(11) of the Act on the Public Procurement Law;
3) the documents mentioned in paragraphs 1(a), (c) and 2 shall be issued at the earliest 6 months before the deadline for submitting tenders;
4) the documents mentioned in paragraph 1(b) shall be issued at the earliest 3 months before the deadline for submitting tenders; and
5) if in the country of residence or in the country where the Contractor has his seat or residence the documents mentioned in paragraph 4(1)-(2) are not issued, the same shall be replaced with documents that contain a declaration, wherein persons authorised to represent the Contractor shall be determined as well, given before a competent court or administrative authority or a commercial or economic chamber in the country of residence or the country where the Contractor has his seat or residence or before a notary public. Provisions of paragraph 4(3)-(4) shall apply accordingly.
5.If any of the documents required herein are missing or if they are submitted in an improper form, the Contractor shall be excluded from the procedure and his tender shall be rejected, subject to paragraph 7 below.
6.In case of the Contractor whose seat is in the territory of the Republic of Poland, if the persons mentioned in Article 24(1)(5)-(8), (10) and (11) of the Act have their residence outside the territory of the Republic of Poland, the Contractor shall submit with regard to them a declaration of a competent court or administrative authority for the place of residence with regard to the clear criminal record of such persons within the scope set forth in article 24(1)(5)-(8), (10) and (11) of the Act, which shall be issued at the earliest 6 months before the deadline for submitting tenders; however, if no such certificates are issued at the place of residence of such persons, the same shall be replaced with a document that contains a declaration given before a notary public, a competent court or administrative authority or a commercial or economic chamber in the residence of such persons.
7.The Principal shall request the Contractors who have failed to submit the declarations or documents that confirm the fulfilment of the terms and conditions of the procedure within the set deadline or who have failed to submit powers of attorney or who have submitted the declarations or documents required by the Principal but containing errors or who have submitted defective powers of attorney, to submit the same within a set deadline, unless the tender of the Contractor despite their submission has to be rejected or the procedure would have to be cancelled.
8.The documents shall be submitted in original or in a copy certified as conforming to the original by the Contractor.
9.To prove that there are no grounds pursuant to Article 24(2)(5) to exclude a tender, the Contractor shall enclose a list of entities that belong to the same capital group in the meaning of the Act of 16 February 2007 on the protection of competition and consumers or information that the Contractor does not belong to a capital group - in the form enclosed as Schedule No. 5 hereto.
10.The following shall be enclosed to the tender documents and declarations required from the Contractors to confirm that the offered supplies fulfil the requirements laid down by the Principal:
a)completed Schedule No. 7 to ToR
b)traction characteristics of the vehicle,
c)the description of the power transmission system,
d)a dimensioned section of the vehicle body with the distribution of seats, emergency exits, internal information, and toilet,
e)drawings and parameters of a wheel and drive truck including a description thereof,
f)the description of springing of the 1st and 2nd degrees,
g)the descriptions of applied heating/cooling solutions and air ventilation in the vehicle:
- in the passenger section:
- the distribution of generators,
- the power of applied devices,
- in the driver's cab:
- the method of heating / cooling,
- the power of applied devices, and
- the location of the ventilation outlet ducts.
h) the description of the provided functions of passenger doors (interlocks, emergency opening),
i) the scope of deck and service diagnostics (including the systems and parameters covered by the diagnostics),
j) the view of the driver's cab and a control desk (the distribution of control and signal devices),
k) figures presenting:
- an observation zone in an arrow plane to pgs taking account of limitations, which are created by the lower edge of a windscreen and the control desk. The observation zone of the driver presented for the seating position.
l) figures presenting:
-visualizations of the external painting of the body in colour, minimum format A4
-proposed interior colour patterns with designs of seat covering and floor carpets.
m) a plan of maintenance and repair cycle adopted in the System Maintenance Documentation (a cycle structure and intervals)
